Secretarial Compliance:

  1. Maintained Confidentiality.
  2. Well versed with Mca.Gov.In
  3. Drafting of Letters and resolution for Committee, Board and Members resolution.
  4. Organising Data, Drafting of Agenda, Notice, Explanatory Statements, Noting and Drafting of Board, Members and Committee Minutes.
  5. Maintenance of Statutory Registers prescribed under the Act viz. Register of Members, Register of charges, Register of Securities, etc.
  6. Timely Update and implementation of new amendments applicable to the Company under applicable acts.
  7. Liason with external regulators and advisers, such as lawyers and auditors.
  8. Updation of Checklist of list of Compliances and ensure its compliances within prescribed Time Limit
  9. Filing of Forms Prescribed under the Companies Act 2013, viz. Form CHG*-1, Form DPT-3, Form MGT-14, Form AOC -4(With and Without XBRL), Form MGT-7 and any other prescribed form under the act.
  10. Limited Liability  Act and its Compliances
  11. Well versed with provision of CSR and important section of Companies Act 2013 Viz. Managerial Remuneration, Section 42,73, 62, 135, 177, 184,185, 186, 188 and section.
  12. Issue of Notices, Copies of Minutes and resolution to Members and members of the Board.
  13. Certification work and signing financial statements and reports (Balance Sheet and Profit & Loss Statements)
  14. Provide legal, financial, and/or strategic advice during and outside of meeting.
  15. File Management
  16. Knowledge of Creation, modification and Creation of Charge
  17. Knowledge of Merger/Amalgamation and its documentation
  18. Dealing with RTA and CDSL
  19. Inspection of Data Maintained by ROC
  20. Preparing Search Report for Charges Created
  21. Beneficial Ownership Declaration

Qualification and Job Specification

  1. Qualified graduate and member of the Institute of Company Secretaries of India with approximately 9+ years of experience with preferably in-house experience with the above responsibilities.
  2. Good Control over English Language
  3. Drafting of Documents
  4. Strong administrative skills and an aptitude for using IT software.
  5. Good verbal and written communication skills.
  6. Meticulous attention to detail and the ability to work well under pressure.
  7. Interpersonal skills and the ability to work with people at all levels.
  8. Influencing skills.
  9. Excellent organization and time management.
  10. An ability to take initiative.
